1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of Agent Matcha, a matchmaking agency and service operated by 1084 Events LLC ("Company," "Agent Matcha," "we," "us").

Agent Matcha may be accessed through a variety of intake methods, including a recorded phone intake call, waitlist registration, referral from another member or matchmaker, or other means we may introduce from time to time, such as an online form. By using any of these intake methods, completing your profile, accepting a match, or paying a connection fee, you agree to these Terms, to our Acceptable Use Policy, and to our Privacy Policy, each of which is incorporated into these Terms by reference.

If you do not agree, do not complete intake and do not use the service. Your attention is drawn in particular to Section 11, which sets out absolute prohibitions on trafficking, abuse, and exploitation.

3. Description of the Service

Agent Matcha operates as a matchmaking agency. We gather your background, lifestyle, relationship history, and preferences through a recorded phone intake call, a waitlist and follow-up profile-completion process, a referral introduction, or another intake method we may offer. That information is used to build your profile.

When we identify someone we believe is right for you, we send you that match along with context on why we thought you would connect. Matches are sent when we find them rather than on a schedule. Every match is reviewed and approved by a human matchmaker before it is sent to you. If you and your match are both interested, we help you connect from there.

What Agent Matcha is not. Agent Matcha is a matchmaking and introduction service only. We do not offer, arrange, facilitate, advertise, or permit escort services, companionship-for-hire, compensated dating or "sugar" arrangements, commercial sexual activity of any kind, adult entertainment, or the sale or distribution of sexually explicit content. The connection fee described in Section 5 pays for an introduction and nothing else. Members who use the service to seek or offer any of the foregoing are removed permanently. See our Acceptable Use Policy.

We do not sell subscriptions to content, we do not host user-to-user payments, and we do not permit members to solicit money from one another.

4. Eligibility

• You must be at least 18 years old to use Agent Matcha. Registration requires you to enter your date of birth and to confirm that you are 18 or older. An applicant who enters a date of birth indicating they are under 18 cannot complete registration. We remove any profile we learn belongs to a person under 18.
• Agent Matcha matches members in a set of active regions, which we list on our website and update from time to time ("Active Regions").
• If you are located outside an Active Region, you may still complete intake and build a full profile. Your profile will be held on waitlist status, and you will not be matched, contacted with a match, or charged until your region becomes an Active Region.
• Matching in some regions may be limited to members registered in particular countries, where local law or operational requirements make that necessary.
• You may hold only one active profile at a time, regardless of how you joined.

5. Fees and Payment

Free matching. Registration and intake are free. Receiving a match is free. Declining a match is free and creates no payment obligation of any kind.

The connection fee. After you have seen your match, you may confirm that you want to connect. Confirming authorizes a one-time connection fee. The connection fee:

• is currently $18.00 USD, and the amount that applies to you is always displayed before you confirm and authorize payment;
• is a one-time charge per connection. It is not a subscription and does not automatically renew;
• is charged only after you have seen your match and affirmatively chosen to connect. Declining a match, or letting the response window pass, costs nothing;
• is the only charge in the free tier. There are no membership dues, setup fees, or hidden charges.

If your match does not confirm. Contact information is exchanged only when both people confirm. If your match declines, or does not respond within their response window, we do not exchange contact information and you do not receive a connection. In that case, your connection fee is automatically held as a credit on your account and applied to your next connection. Credits do not expire. You may instead request a refund as described in Section 7.

Payment processing. Payments are handled by a third-party payment processor. We do not receive or store your full card number. The charge will appear on your statement under the descriptor shown on your payment receipt.

Taxes and currency. Prices are stated in U.S. dollars unless otherwise shown. Any applicable taxes are displayed before you confirm payment.

Other tiers. Agent Matcha may offer additional paid tiers, such as "VIP Matchmaking." VIP Matchmaking may involve connecting you with a partner matchmaker outside our network to provide part or all of your matchmaking experience. Enrollment in any such tier, including any partner-matchmaker relationship, is governed by a separate written agreement presented to you at the time of enrollment and is not covered by these Terms.

6. What You Receive

• Your match. Where a match is available for you, we send you a summary of that person along with notes from your matchmaker. We do not share their contact information at this stage.
• Your response. Each match is sent with a response window, stated in the message. If you do not respond within that window, it is treated as a pass, and you are not charged.
• Your connection. Contact information is exchanged only when both people confirm. Once both have confirmed, we deliver each party's contact information to the other. Delivery is prompt and, in most cases, immediate. If your match does not confirm, no contact information is exchanged and your fee becomes a credit, as described in Sections 5 and 7.
• Availability. Matches are sent when we identify someone we believe is right for you. There is no set schedule, no minimum number of matches, and no maximum. Matching depends on who is in the member pool in your region at a given time. We do not guarantee that a match will be available to you at any particular time, within any particular timeframe, or at any frequency. See Section 9.

7. Credits, Refunds, and Billing Disputes

Credits. If you pay a connection fee and your match does not confirm, no connection is delivered and your fee is automatically held as a credit on your account. The credit is applied to your next connection, and does not expire. You may request a refund of any unused credit instead, as described below.

Refunds. Because a connection is delivered promptly upon mutual confirmation, the connection fee is not refundable once both parties' contact information has been exchanged, except as set out below and except where applicable law provides otherwise.

We will refund the connection fee in full if:

• you hold an unused credit and would prefer a refund of it;
• we do not deliver your match's contact information after both parties have confirmed;
• you were charged more than once for the same connection, or charged in error;
• the member you paid to connect with is found, on review of a report you submit to us, to have materially violated our Acceptable Use Policy — including impersonation, a fabricated or materially false profile, misrepresented relationship status, harassment, or solicitation.

How to request a refund. Email hello@agentmatcha.ai within 30 days of the charge, with the date of the charge and the match involved. We respond to refund requests within 5 business days and issue approved refunds to the original payment method within 10 business days.

Before you dispute a charge. If you believe a charge is wrong, please contact us first at hello@agentmatcha.ai. We resolve nearly every billing question directly and faster than a card dispute. Filing a chargeback without contacting us may result in suspension of your profile.

Statutory rights preserved. Nothing in this Section limits any refund or cancellation right you hold under applicable law. See Section 8.

8. Cancellation and Local Rights

• You may close your registration at any time by emailing hello@agentmatcha.ai. Cancellation is effective immediately for future matches. No further matches will be generated or sent, and you will not be charged again.
• Cancellation does not entitle you to a refund of a connection fee for a connection already delivered, except as described in Section 7. If you hold an unused credit when you cancel, you may request a refund of it.
• Paid tiers. If you enroll in a paid tier governed by a separate agreement, the cancellation and refund terms of that agreement apply, including any cooling-off period required by law.
• Local rights. If applicable law in your state, province, or country grants you cancellation, cooling-off, refund, or contract-form rights that exceed those described in these Terms, those rights apply to you and control to the extent of any conflict, notwithstanding anything else in these Terms.

9. No Guarantee of Matches or Outcomes

Agent Matcha does not guarantee that you will receive a match at all, that you will receive one within any particular timeframe, that you will receive any particular number of matches, that any match will result in a date, a relationship, or any other outcome, or that any member is who they represent themselves to be.

We do not conduct criminal background checks, identity verification, or reference checks on members unless we state otherwise to you in writing. Our review is a human matchmaker's judgment applied to the information members give us, and members can lie.

You are responsible for your own safety. We recommend that you meet in a public place for a first meeting, arrange your own transportation, tell a friend or family member where you are going, and stop contact with anyone who makes you uncomfortable. Never send money to another member for any reason. See our Acceptable Use Policy.

10. Your Conduct

Your use of Agent Matcha is governed by our Acceptable Use Policy, which forms part of these Terms. In summary, you agree to:

• provide accurate, truthful information during intake and profile completion;
• not impersonate another person or misrepresent your identity, age, photographs, or relationship status;
• treat other members and Agent Matcha staff with respect;
• not use the service for harassment, solicitation, commercial promotion, fraud, or any unlawful purpose;
• not use the service to seek or offer escort services, compensated dating, or commercial sexual activity of any kind;
• not engage in, aid, abet, encourage, or facilitate trafficking, abuse, or exploitation of any person, as set out in full in Section 11.

We may suspend or permanently terminate your profile, with or without notice, for any violation. Fees already paid are not refunded to a member removed for a violation.

11. Trafficking, Abuse, and Exploitation

The prohibitions in this Section are absolute. They apply to every applicant, member, and person who interacts with Agent Matcha, they apply whether or not the conduct occurs on or through our platform, and they are enforced by immediate and permanent removal and by referral to law enforcement.

Human trafficking. You may not use Agent Matcha in connection with human trafficking of any kind, including sex trafficking, trafficking for the purpose of sexual exploitation, and trafficking for forced labor, involuntary servitude, debt bondage, or slavery. This prohibition includes recruiting, enticing, harboring, transporting, providing, obtaining, advertising, maintaining, patronizing, or soliciting any person for commercial sexual activity or forced labor, and includes any attempt or conspiracy to do so.

Sexual exploitation and abuse. You may not use Agent Matcha in connection with the sexual exploitation or abuse of any person. This includes the sexual exploitation or abuse of a child; the production, possession, solicitation, or distribution of child sexual abuse material; sextortion; and the creation, sharing, or distribution of intimate images of any person without that person's consent.

Aiding, abetting, encouraging, or facilitating. You may not aid, abet, assist, encourage, solicit, promote, advertise, arrange, finance, conspire in, or otherwise facilitate any conduct prohibited by this Section, or any other abuse or exploitation of another person — whether or not you engage in that conduct yourself, and whether or not it takes place on or through Agent Matcha. This includes providing information, introductions, access, money, transportation, accommodation, or any other assistance to a person who you know, or reasonably should know, is engaged in or intends to engage in such conduct. It also includes acting on behalf of, at the direction of, or for the benefit of any such person.

Coercion, control, and exploitation. You may not coerce, force, defraud, threaten, or pressure any person into any sexual, financial, or personal act. You may not exploit or attempt to exploit another person's vulnerability, immigration status, financial circumstances, age, or dependence on another person. You may not create or operate a profile on behalf of, or under the direction or control of, another person.

Enforcement. Any violation of this Section results in immediate and permanent removal without prior notice, forfeiture of any fees paid, a permanent bar on re-registration, and referral to law enforcement. Apparent child sexual exploitation is additionally reported to the National Center for Missing & Exploited Children.

Reporting. Report any concern under this Section to hello@agentmatcha.ai. Reports under this Section are escalated immediately rather than through our ordinary review timelines. If you believe a person is in immediate danger, contact local emergency services first. Suspected trafficking may also be reported to the National Human Trafficking Hotline at 1-888-373-7888 (text 233733).

12. Harassment and Assumption of Risk

Agent Matcha has a zero-tolerance policy for harassment, intimidation, threats, or misconduct toward members or staff. Reports may be sent to hello@agentmatcha.ai and are reviewed promptly.

To the extent permitted by law, Agent Matcha is not responsible for:

• the behavior, honesty, or background of other members;
• the outcomes of personal interactions, dates, or romantic relationships;
• any emotional, physical, or financial harm arising from your engagement with another member.

All engagement with other members is voluntary and at your own risk.

13. Data Use and Consent

Our collection and use of your information — including sensitive information such as attachment style, relationship history, and psychological compatibility markers, and including the recording of your intake call — is described in our Privacy Policy. By completing intake and using our services, you separately consent to that sensitive-data use as described there. Your intake call is recorded with your consent obtained at the start of the call.

14. Communications

We communicate primarily via WhatsApp and may also contact you by SMS, phone, or email, including to deliver matches and service messages. Message and data rates may apply, and standard international call and messaging rates apply to calls from outside the United States.

You may opt out of messages at any time by replying STOP. We will cease messaging and mark your profile inactive within 24 hours of your request.

15. Intellectual Property

All content, technology, brand assets, and materials associated with Agent Matcha — including the Agent Matcha™ name and mark, the matching methodology, and all site content — are owned by 1084 Events LLC or its licensors. You may not copy, reproduce, scrape, reverse engineer, or exploit any part of the service without our written permission.

You retain ownership of the photographs and information you provide, and you grant us a limited license to use them for the purpose of building your profile and presenting you to potential matches and to matchmakers in our network, as described in the Privacy Policy.

16. Disclaimers and Limitation of Liability

The service is provided "as is" and "as available," without warranties of any kind, express or implied.

To the maximum extent permitted by law, 1084 Events LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service or any interaction with another member. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the service will not exceed the greater of the amounts you paid us in the twelve (12) months preceding the claim or one hundred dollars ($100).

Some jurisdictions do not allow certain limitations, in which case the limitations above apply to the fullest extent permitted.

17. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Agent Matcha will first be addressed informally: you agree to contact us at hello@agentmatcha.ai and allow thirty (30) days for us to attempt to resolve the matter directly.

If the dispute is not resolved informally, it will be resolved by binding arbitration administered in Miami-Dade County, Florida, under the rules of a recognized arbitration organization such as the American Arbitration Association, rather than in court — except that either party may bring an individual claim in small claims court if it qualifies.

You and Agent Matcha each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

18. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except where residents of a specific jurisdiction are entitled to mandatory consumer protections under their local law, which are preserved notwithstanding this section.

19. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by a new Effective Date and will be effective as soon as it is accessible. Where a change materially affects your rights, we will notify active members by WhatsApp or email. We encourage you to review this page regularly.
